2. Vietnam – New Guidelines on Deposit Agreements Effective 15 October 2026.
Vietnam’s new guidelines on deposit agreements clarify that a deposit agreement may remain valid even when the underlying property transaction cannot proceed, provided legal requirements are met. Deposit forfeiture or double repayment is not automatic and depends on the circumstances and each party’s responsibility. Courts may also limit agreed deposit penalties if they exceed the underlying contract’s value. The purpose of the deposit should be clearly stated, particularly whether it secures contract signing or performance. Claims for deposit penalties and damages generally have a three-year limitation period, while claims for the return of deposited assets are not subject to this limit.

4. Real Estate Market Sees New Policy Proposals, Experts Highlight Opportunities for Businesses.
Vietnam’s National Assembly is expected to consider amendments to three major real estate laws in October 2026, covering land, housing, and property business. Proposed changes include a land pricing mechanism combining land price tables with adjustment coefficients, higher costs for delayed land use, and a proposed 0.2% tax on vacant or unused land. Amendments to the Housing Law may also establish a clearer legal framework for rental housing. These changes could improve transparency, encourage more efficient land use, and create opportunities for developers. However, the proposals remain under review, and their impact will depend on the final regulations and implementation.

5. Addressing the Problem of Projects Facing Excessive Administrative Procedure.
Vietnam is working to address administrative bottlenecks that affect investment, construction, and real estate development projects. According to the Ministry of Home Affairs, a single project may have to undergo 8–12 administrative procedures, some involving overlapping assessments by different government agencies. These requirements can delay approvals, increase costs, and make project implementation more complicated. Although the government has reviewed thousands of legal documents and introduced reforms, many regulations still need to be amended to align with the new two-tier local government model. Unclear responsibilities and insufficient coordination among departments remain major challenges. To improve efficiency, the government aims to clarify the responsibilities of each agency, designate a lead authority for each task, simplify overlapping procedures, and strengthen digital infrastructure and data sharing. If implemented effectively, these measures could help accelerate project approvals, reduce administrative costs, and create a more transparent investment environment for Vietnam’s real estate sector.
